
Terms of Service

These Terms govern your use of WorQFlow Solutions' platform and services. By creating an account or using our Services, you agree to these Terms. Key points: you must be 16+; you own your content but grant us a license to display it; we are not liable for indirect damages; disputes are resolved by binding arbitration in California; we can suspend or terminate accounts for violations. 1. Acceptance of Terms
By accessing or using the WorQFlow Solutions platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies incorporated by reference. If you do not agree to these Terms, you must not access or use our Services.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and WorQFlow Solutions, Inc. ("WorQFlow Solutions," "we," "us," or "our"), a company incorporated under the laws of the State of California, United States.
We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes by email or prominent notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
2. Eligibility
To use the Services, you must:
• Be at least sixteen (16) years of age.
• Have the legal capacity to enter into a binding contract in your jurisdiction.
• Not be prohibited from using the Services under applicable law, including U.S. sanctions or export control laws.
• Not have had a prior account terminated by WorQFlow Solutions for violation of these Terms, unless we have expressly granted written permission for a new account.
By using the Services, you represent and warrant that you meet all of the above eligibility requirements. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Accounts
3.1 Account Registration
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your account. You must notify us immediately at legal@worqflowsolutions.com if you suspect unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 One Account Per User
You may not create or operate more than one account without our express written permission. We reserve the right to merge or close duplicate accounts.
3.4 Account Suspension and Termination
We reserve the right to suspend, restrict, or terminate your account and access to the Services at our sole discretion, with or without notice, for conduct that we believe: (a) violates these Terms or any applicable law; (b) is harmful to other users, third parties, or WorQFlow Solutions; (c) involves fraud or misrepresentation; or (d) is otherwise objectionable. You may close your account at any time through your account settings. Termination does not relieve you of obligations incurred prior to termination. 4. Permitted Use and Acceptable Use Policy
4.1 Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes — including networking, connecting with professionals, and using the platform features made available to you.
4.2 Prohibited Conduct
You agree not to, and not to facilitate or encourage others to:
• Violate any applicable local, state, national, or international law or regulation.
• Post, transmit, or distribute content that is unlawful, defamatory, obscene, fraudulent, harmful, harassing, threatening, abusive, hateful, or otherwise objectionable.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Spam, solicit, or send unsolicited communications to other users.
• Scrape, crawl, index, copy, or harvest any content or data from the Services using automated tools, bots, or scripts, without our express written consent.
• Attempt to gain unauthorized access to any part of the Services, other user accounts, or WorQFlow Solutions' systems or networks.
• Introduce malware, viruses, Trojan horses, or any other harmful or disruptive code.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.• Reverse engineer, decompile, or disassemble any aspect of the Services.
• Use the Services to compete with WorQFlow Solutions or to build a similar or competing product.
• Circumvent, disable, or interfere with security-related features or features that enforce limitations on use.We reserve the right to investigate suspected violations and to take any action we deem appropriate, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.
5. User-Generated Content
5.1 Your Content
Our Services allow you to post, upload, submit, store, share, and otherwise make available content, including text, images, profile information, and other materials ("User Content"). You retain all intellectual property rights in and to your User Content.
5.2 License Grant to WorQFlow Solutions
By posting User Content on the Services, you grant WorQFlow Solutions a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purposes of operating, providing, and improving the Services. This license terminates when you delete your User Content or your account, except to the extent your content has been shared with others who have not deleted it.
5.3 Content Standards
You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that: (a) you own or have the necessary rights to post your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.
5.4 Content Removal
We reserve the right (but not the obligation) to review, screen, edit, or remove any User Content at our sole discretion and without notice. We are not responsible for User Content posted by users.
5.5 DMCA / Copyright Policy
We respect intellectual property rights. If you believe any content on our Services infringes your copyright, please send a DMCA takedown notice to legal@worqflowsolutions.com including: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the infringing material and its location on our Services; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury. We have registered a DMCA Agent with the U.S. Copyright Office and will respond to valid notices promptly.
6. Intellectual Property
6.1 Our Intellectual Property
The Services and all content, features, and functionality provided by WorQFlow Solutions — including but not limited to software, text, graphics, logos, icons, images, audio clips, and the selection and arrangement thereof — are owned by WorQFlow Solutions or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Restrictions
You may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works based on any part of the Services or WorQFlow Solutions' intellectual property without our prior written consent. Any unauthorized use of our intellectual property is a violation of these Terms and applicable law.
6.3 Feedback
If you submit suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit that Feedback in any manner without any obligation to you.
7. Fees and Payment
7.1 Paid Services
Certain features of our Services may require payment. Applicable fees will be disclosed to you prior to purchase. All fees are in U.S. dollars unless otherwise stated. By providing payment information, you represent that you are authorized to use the payment method provided.
7.2 Billing and Renewal
Subscription plans are billed on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew unless you cancel at least twenty-four (24) hours before the end of the current billing period. You can manage or cancel your subscription through your account settings.
7.3 Refunds
All fees are non-refundable except as expressly required by applicable law or as stated in our Refund Policy. If you believe you have been charged in error, please contact legal@worqflowsolutions.com within thirty (30) days of the charge.
7.4 Price Changes
We reserve the right to change our pricing at any time. We will provide at least thirty (30) days' notice of price increases, which will take effect at the next renewal period.
8. Third-Party Services and Links
The Services may contain links to third-party websites, services, or applications. These are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party sites. Your interactions with third-party services are governed by their own terms and policies. We encourage you to review those terms before using third-party services.Some features of our Services may integrate with third-party platforms (e.g., social media sign-in). By using these integrations, you authorize us to access and use your information from those platforms in accordance with their terms and our Privacy Policy.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.We do not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any information obtained through the Services will be accurate, reliable, or complete; (c) defects will be corrected; or (d) the Services or servers are free of viruses or other harmful components.We are not responsible for the conduct of any user, whether online or offline, or for any User Content. Any reliance you place on information or materials provided through the Services is at your own risk.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WORQFLOW SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
• Your access to or use of (or inability to access or use) the Services.
• Any User Content or conduct of any user on the Services.
• Unauthorized access to or alteration of your transmissions or data.
• Any third-party content or services accessed through the Services.
• Any other matter relating to the Services.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless WorQFlow Solutions and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights. We reserve the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before initiating any formal dispute, you agree to contact us at legal@worqflowsolutions.com and attempt to resolve the dispute informally for at least thirty (30) days. We will attempt to resolve disputes through good-faith negotiation
12.2 Binding Arbitration
If informal resolution fails, you and WorQFlow Solutions agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through final and binding arbitration, rather than in court, except as set out below. Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or the Commercial Arbitration Rules for business disputes. The arbitration will take place in Wilmington, Delaware, or by videoconference at either party's election.
12.3 Class Action Waiver
YOU AND WORQFLOW SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
12.4 Exceptions
Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. You or WorQFlow Solutions may also bring claims in small claims court if the dispute qualifies.
12.5 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Subject to the arbitration clause above, you consent to exclusive jurisdiction and venue in the state and federal courts located in Wilmington, Delaware for any dispute not subject to arbitration.
13. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls.
14. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. We will use reasonable efforts to provide advance notice of material changes that affect your use.We do not guarantee uninterrupted or error-free availability of the Services. Scheduled maintenance, emergency downtime, or circumstances beyond our control may affect availability.
15. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargos, acts of civil or military authorities, fire, flood, pandemic, accident, strikes, or shortages of transportation, fuel, energy, labor, or materials.
16. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and WorQFlow Solutions with respect to the Services and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the Services.
